Senior Corporate Counsel

Overview

The Senior Corporate Attorney assumes responsibility for oversight of all contracting (non-Real Estate) matters for the enterprise. This attorney provides legal advice and counsel on and management of the Company's contractual relationships with third parties. This attorney also manages corporate governance and privacy issues. This attorney also provides advertising and marketing advice. Principal areas of focus are information technology, marketing, purchasing, supply, and distribution.

Job Description:

  • Reviews and drafts contracts, documents, amendments, and matters related to the Company's business and other interests, including those related to information technology, marketing, restaurant operations, supply and distribution.
  • Identifies, manages, and communicates risks and opportunities associated with the Company's commercial dealings.
  • Advises on contract design and administration, compliance, and other contractual issues .
  • Oversees corporate governance issues, statutory filings, licensing forms, and maintains corporate records.
  • Provides guidance on privacy matters.
  • Provides guidance to the marketing department on advertising and other public messaging.
  • Monitors and analyzes new laws, regulations, and other legal authority with regard to commercial and contract law, corporate law and laws related to information technology and advises business clients accordingly
  • Participates and supports others in risk management functions
  • Applies innovative problem-solving skills and business judgment to assist the Company in maximizing revenue opportunities, managing risks and fostering business relationships in its commercial dealings
  • Handles Company's pre-litigation contract disputes
  • Interacts with company senior leaders and outside counsel on complex issues having impact or potential impact across organization entities
  • Develops direct reports by supporting training, development, and other professional growth opportunities; manages individual and team performance through coaching, feedback, and performance management discussions calibrated across the department


Required Technical Skills:

  • Minimum 6 years of law firm or in-house experience as a corporate or commercial attorney with emphasis on contract, commercial and/or marketing matters.
  • Licensed to practice law and in good standing under the Bar of any state that enables admission to practice as in-house counsel in Florida


Required Education:

  • Juris Doctor Degree from an ABA accredited law school


Other Key Qualifications:

  • Excellent communication, document drafting, project management, organizational and problem-solving skills required.
  • Experience in negotiating and drafting large contracts
  • Experience with legal aspects of information technology required.
  • Some experience with regulatory matters, such as FDA or FTC desirable.
  • Experience managing both in-house and outside counsel preferred.
  • Ability to build and maintain strong relationships with a variety of in-house clients, peers and subordinates, and interact effectively with third parties
  • Demonstrated ability to independently make decisions regarding complex contract, commercial and compliance issues with an in-depth understanding of the risks involved.
  • Proven team orientation skills working on a multidisciplinary team in a fast-paced, dynamic environment preferred.
  • Demonstrated strong initiative and ability to handle multiple projects in a fast-paced environment
  • Proven analytical ability to recognize and creatively resolve issues
